1. Definitions

In these Terms and Conditions:

• "Verge Foliot", "we", "us", "our" means the watch repair practice operating at 17 Lorong Toh Aka, 10100 George Town, Pulau Pinang, Malaysia.
• "You", "Client" means the person or entity engaging our services or accessing our website.
• "Services" means the watch repair and refinishing services described on our website and agreed in writing at time of booking.
• "Work Order" means the written scope of service agreed between Verge Foliot and the Client before work commences.
• "Bench Note" means the written record of work carried out, returned to the Client with the completed watch.
• "Agreement" means these Terms together with any Work Order.

2. Acceptance of Terms

By submitting an enquiry, leaving a watch with us for service, or using our website, you confirm that you have read, understood, and agree to these Terms.

You confirm that you are at least 18 years of age and have legal capacity to enter into this Agreement, or that you have obtained appropriate parental or guardian consent.

You confirm that you are the lawful owner of any watch submitted for service, or that you have express authority from the lawful owner to submit it.

3. Service Description

Verge Foliot provides three categories of watch service: quartz module service and cell renewal, chronograph complication service, and dial and hand refinishing commission. Full descriptions and current pricing are available at islandblueya.site/solutions.html.

Services are carried out at our premises in George Town, Penang. We do not distribute work to off-site sub-contractors without prior written agreement with the Client.

Services are available to clients within Malaysia and, by prior arrangement, to clients overseas who assume responsibility for safe transport of the watch.

4. Work Order and Scope

No service work commences until a Work Order has been agreed between Verge Foliot and the Client. The Work Order specifies the service type, scope, and price.

For dial and hand refinishing commissions, a separate written brief is prepared and signed by both parties before any cosmetic work begins. This brief includes the scope of work, colour references where applicable, and a statement that refinishing is irreversible.

If circumstances during the service require a change to the agreed scope — discovery of additional wear, requirement for a non-standard part, or similar — work pauses and the Client is contacted for approval before proceeding. No additional charges are incurred without the Client's consent.

5. Client Responsibilities

The Client agrees to:

• — Provide accurate information about the watch and its history at intake
• — Disclose any known faults, previous repairs, or modifications relevant to the service
• — Collect the watch within 30 days of notification that the service is complete
• — Pay the agreed service charge on collection
• — Not misrepresent ownership of any watch submitted for service

Watches not collected within 60 days of completion notification, after reasonable repeated contact, may be subject to storage charges as notified in writing.

6. Intellectual Property

All content on the Verge Foliot website — including text, images, design elements, and the Bench Note format — is the intellectual property of Verge Foliot unless otherwise stated.

You may not reproduce, distribute, or commercially use any content from our website without prior written permission. Reference photographs taken during a refinishing commission remain on file at Verge Foliot; a copy is provided to the Client. These images are not used for commercial promotion without the Client's consent.

7. Payment Terms

All prices are quoted and charged in Malaysian Ringgit (RM). Current service prices are published at islandblueya.site/solutions.html and confirmed in the Work Order.

Payment is due in full on collection of the watch. We accept cash and common Malaysian electronic payment methods. Advance deposits may be requested for refinishing commissions; this will be stated in the Work Order.

Services are priced for the work described. If the service cannot be completed due to unforeseen circumstances discovered during the work, a diagnostic fee may apply as notified to the Client before work stops. No service charge is payable for work not carried out.

8. Service-Specific Terms

8.1 Quartz Module Service

Standard turnaround is one to three working days from intake. Non-standard cases or calibres requiring special parts may extend this. The Client is notified if the quoted turnaround cannot be met.

8.2 Chronograph Complication Service

Bench time is four to seven weeks from intake. Vintage calibres with limited part availability may require additional time. Material delays are communicated promptly.

8.3 Dial and Hand Refinishing

Commission duration is eight to fourteen weeks including curing time. The written brief is a binding document. Refinishing is not reversible once carried out in accordance with the agreed brief. Any scope change requires written amendment agreed by both parties.

By signing the refinishing brief, the Client confirms understanding that the work is irreversible and that approval of colour matching samples constitutes acceptance of the proposed finish.

9. Disclaimers

Watch repair and refinishing involves inherent risks. While we exercise reasonable care in all work, we cannot warrant specific performance outcomes for watches with pre-existing faults, unusual wear patterns, or calibres where original manufacturer service documentation is unavailable.

References to turnaround times are estimates based on standard cases. They are not binding commitments and may vary based on calibre complexity, parts availability, and bench workload.

10. Limitation of Liability

Verge Foliot's liability for any loss or damage arising from the provision of services is limited to the service fee paid for the specific service involved.

We are not liable for: indirect or consequential loss; loss of sentimental value; depreciation in market value following service; or loss arising from events beyond our reasonable control including natural disasters, infrastructure failure, or supply chain disruption.

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud.

11. Indemnification

You agree to indemnify and hold Verge Foliot harmless from any claims, losses, costs, or damages — including legal fees — arising from your breach of these Terms, misrepresentation of ownership, or provision of false information at intake.

12. Termination

Either party may withdraw from a service engagement before work has commenced. If work has commenced, Verge Foliot may charge a proportional fee for work completed to that point.

We reserve the right to decline or cease a service engagement where we reasonably believe the watch has been misrepresented, or where continuing the service would be impractical or contrary to applicable law.

13. Dispute Resolution

These Terms are governed by the laws of Malaysia. Any dispute arising in connection with these Terms or a service engagement shall be subject to the exclusive jurisdiction of the courts of Malaysia.

14. General Provisions

Entire Agreement: These Terms, together with any Work Order, constitute the entire agreement between the parties and supersede all prior discussions or representations.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.

Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.

Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights with reasonable notice to you.

15. Changes to These Terms

We may update these Terms from time to time. The current version is always published at this URL with its effective date. Continued use of our services after an update constitutes acceptance of the revised Terms. Material changes will be noted on the website.
